注:1.因期租船的经营由租船人负责,故对船舶的性能和是否适合于航行的范围和装运的货物,否则就会给经营带来困难,并增加经营成本。
2.船级是表示船舶的质量,最高级为100ai。
3.夏季载重吨,海洋上的气候,对航海来说,只有夏季和冬季之分。夏季时期和区域。海洋气候比较平和,故载重吨比冬季高。
4.袋装与散装容积:两者都是指船舱的容积。因船舱内有龙骨,袋装货物不能填满其空隙,故袋装容积比散装容积小,一般小5%至10%。
第一条
租赁时间:船东愿意出租,租船人愿意租用本轮共计_________日历月(calendar
months),从交船并由租船人使用之时起计算。交船必须在平日上午9时至下午6时或星期六上午9时至下午2时进行(星期日和法定假日不得交船)。
交船港口:本轮应按租船人之指示,在船舶能安全并保持浮泊之_________泊位交船。本船必须适于载运一般的货物。
交船时间:本轮应于_________年_________月_________日移交就绪。
注:租赁时间可规定缩短或延长若干天,由租船人选择,这样就更灵活。
第二条
航行及装货范围:
本轮仅能用于合法的贸易并装运合法的货物,航行于优良和安全的港口之间或能使本轮安全并保持浮泊之处。航行范围如下:
本轮不得运载性畜、有害、易燃或危险品(如酸类、炸药、炭化钙、铁矽、石油精、汽油、焦油及其任何制品)。
注:如需装运性畜和危险品,则应将最后一段划掉。
第三条
船东供应事项:
在本轮的服务期内,船东应负责船员的伙食、薪金、各层甲板与机器房内的备品,船舶保险,并保持船身与机件通盘有效。
船东应于每一货舱供应绞车工一人,如需增加绞车工,或装卸工人拒绝或不许与船员一同工作时,租船人应供应岸上合格之绞车工,并负担其费用。
第四条
租船人供应事项:
租船人应负责供应燃煤(包括厨房用煤)、燃油、锅炉所用的淡水、负担港务费、引水费(不论是否强制执行)、运河舵手费、驳艇费、照明费、拖轮费、领事费(属船长船员和水手者除外)、运河税、船坞税、其他税款和什费、交还船港口的船坞费、码头税、吨税(交船前和还船后载运货物所发生的费用除外)、代理费、佣金、装船、平舱、理舱费(包括垫隔舱所需的板蓆,船上已有者除外)、卸货费、过磅费、理货费、交货费、验舱费和执行此项工作人员的正常伙食费、因检疫所引起的捐税和什费、停留费(包括货物的熏蒸和消毒费)。
装卸作业中所需的特殊绳索、吊具、绞盘以及因港口惯例所需的特殊设备(如特殊绳索、大缆、铁链等)均由租船人供应。船上应供应绞车、吊杆和足以吊起两吨重的普通绞盘。
注:1.租船人为避免负担不合理的费用,可在上段的后面加“因船方的责任而进入某港所引起的费用均由船东负担”一句。
2.船员所用的长行艇费由船东负担。锅炉所用的淡水和船员所吃的淡水都放在一起,所以淡水费一般都由租船人负担三分之二,船东负担三分之一。
第五条
燃料:
租船人在交船港,船东在还船港,应接受在燃料舱中所贮存之燃煤或燃料油,并按该港口的时价将燃料款付给对方。本轮在交船和还船时,燃料舱中所贮存的燃煤或燃料油不得少于_________吨和不得超过_________吨。
注:规定一定的燃料贮存,主要是在交还船后能使船舶立刻航行。
第六条
租金与支付:
从第一条所规定交船时间开始至将船还给船东时止,租船人应每30天支付租金_________。
租金每30天支付一次,以_________币现金无折扣预付。
如租金发生缺欠,船东有权不顾任何抗议和法院及其他任何形式的干涉将船从为租船人的服务中撤回,并且不影响在本合同下船东对租船人的索赔权。
第七条
还船:
本合同期满,租船人应按接船时同样的良好情况(自然损耗除外)将船还给船东。还船应在平日上午9时至下午6时和星期六上午9时至下午2时在租船人所选择的港口进行。星期天和法定假日不得还船。
租船人应最迟于10天前明确通知船东还船的港口和还船的日期。如本轮被命执行最后的一个航次可能超过租用的时间时,租船人可用本轮完成该航次,但须合理估计超过的时间。超过本合同所规定的时间,租船人应按市场费率支付租金,市场费率高于本合同所规定的租金亦不例外。
注:在还船时,如有超出自然损耗的损坏,租船人应负责赔偿。所以交还船手续特别重要,必须慎重办理。
第八条
载货容积:
除留出适当足够之容积,作为船长、船员、水手、绳索、服物、家俱、伙食和其他储备之用外,全船所有的载货容积(包括甲板上的法定容积),均归租船人使用。
第九条
船长:
船长应以最大努力执行一切航行,并取得船员按例之效劳。船长在职务上,代理上和其他它排上应听租船人的命令。船长、船员或代理人在签发提单、其他证件,或按租船人的指示,对本船的文件或装载过量等方面的不规则行为所引起的一切效果与责任,均由租船人负责并赔付给船东。货物短少、掺杂、标记、件数不清和因装载不良使货物受损而引起的索赔,船东概不负责。
如租船人有理由不满意船长、船员和轮机长的行为,船东于接到租船人的申请书后,应立即进行调查,如属实并有必要,船东应改变其任命。
注:因船长、船员和轮机长仍属船东的雇员,船舶经营好坏,与其关系不大,所以有些船长、船员和轮机长未能很好地为租船人服务。我们,作为租船人应密切注意其行为,必要时,应提出确切的书面材料要求船东更换。这是租船人的一项权利。
第十条
方向与航海日志:
租船人应给船长一切航行指示。船长和轮机长应正确和完整地填写航海日志,并提供给租船人或其代理人查阅。
第十一条
租金停付:
1.倘本轮因:进干坞或为保持船舶的效能而采取其他办法;人员或船东对备品供应不足;机器损坏;船壳受损或其他事故,致使本轮不能航行并连续在24小时以上,从此时起,至恢复航行时止,租船人即停付租金,已预付之租金应予调整。
2.倘本轮因气候险恶,被迫进港和抛锚,驶入浅水港或河流或有沙洲之港口,或使所载的货物遭遇事故,致使本轮发生停滞,该停滞以及因停滞所引起的费用,即使属于船东雇员之疏忽所致或部分责任属于船东雇员之疏忽,亦均由租船人负责。
注:租船人对船舶停航的原因和停航复航的时间,必须确切掌握。另为了防止船东或其雇员以这条作籍口,随便使船离开正常航线,应争取在本条后面加上:“如船在航程中因事故离开原航线,从离开原航线时起至回到原航线时止,租金停付”。
第十二条
清洗锅炉:
清洗锅炉,应尽可能在船舶服务时间内进行,如不可能,租船人应给船东必要的清洗锅炉的时间。如本轮船清洗锅炉的时间超过48小时,则从开始清洗时起至再准备好航行时止,租金停付。
第十三条
责任与豁免:
因船东或其代理人对本轮的海质注意不够或船东或其代理人或其他个人在航程中的疏忽及失职行为,致造成延迟交船,延迟合同的有效期限和船上货物的灭失与损坏,船东均应负责。对于其他损失或延迟,不论其性质如何,原因如何,即使是船东雇员的疏忽行为所造成者,船东均不负责。因罢工、停工或拘禁(包括船长、船员和水手)所引起的灭失与损坏,不论部分或全部,船东亦不负责。
对于因装运违犯合同规定的货物,或因燃料储备,装货、理舱、卸货的不当或疏忽,致使本轮或船东的利益遭到灭失或损害,不论全部或部分,均由租船人负责。
第十四条
垫款:
在需要时,租船人或其代理人应为船长垫付本轮在任何港口所需的杂项开支,仅收年利百分之六。此项垫款可在租金内扣除。
第十五条
不能驶往港口:
本轮不得被命前往或驶入:
1.有热病和传染病流行或船长、船员、水手在法律上不允许随船前往之处;
2.任何被冰封冻之处;或在本轮到达时因冰冻之故,灯塔、灯船、航标、浮标.已撤销之处;或因冰冻之故,本轮不能到达之处;或装卸货物完毕后,有不能开出的危险之处。本轮无破冰航行的义务。如因冰冻,船长认为停留在装港或卸港中,有使本轮被冰封致损之危险时,船长有权将船开往另一未被冰封之处,以候租船人的新指示。
如因上述原因事先未能预料到之一切延迟,均由租船人负责。
第十六条
船舶失踪:
倘本轮失踪,从失踪之日起停付租金。如失踪之日无法查明,则从船上最后一次报告之日起至估计本轮到达目的港时止,租金折半支付。已预付之租金应予调整。
第十七条
加班
如需要时,本轮应日夜工作。船员和水手的超时工作加班费,应按本轮规定的时间和费率,由租船人偿付给船东。
第十八条
留置权:
在本合同下,船东为了索赔,对货物和属于期租人的附属运费及任何提单运费有留置权。租船人替船东垫付的款项未得到偿还时,对本轮有留置权。
第十九条
救助:
救助他船所得救助费,除去船长、船员应得的部分以及一切合法的和其他费用(包括租船人在救助时间内对租金的损失、船舶因救助受损的修理费和损耗的燃料等)开支外,其余部分由船东与租船人均分。船东为了救助他船所采取的措施而支付的费用,租船人应予同意。
第二十条
转租:
租船人经适当通知船东后,有权将本轮转租,但原租船人仍应对本合同及船东负责。
第二十一条
战争:
1.未征得船东同意,本轮不得被命前往或继续前往下列地区,有战争行动、战争、兵端、类似战争之行动、海盗、敌对行动并因此引起任何个人、团体、国家、革命、内战、民变或国际公法的干涉,致使本轮、其他船只或货物有遭遇危险之地区;不得以任何方式使本轮受法律制裁并因此引起风险和刑罚;不得用本轮装运有使本轮遭到交战国、团体、任何政府或流治者扣押、处罚或其他干涉的货物。
2.如本轮接近、被带或被命前往上述地区,或因任何原因遭受上述之风险,则:1.船东在自认为适合之条件下,对任何因此似将发生之风险,将本轮与租金进行保险,租船人见票后应即将保险费偿还给船东;2.虽有第十一条的规定,但因船长、船只和水手失踪,减少或水手拒绝前往上述地区或遭受上述风险而造成的时间损失,租船人仍须支付租金。
3.因甲项所述之情况或在此类情况存在之期间,使船长、船员和水手之薪金、伙食费、甲板和机舱之储备物与保险费有所增加,其增加的数目应列入租金中,船东提出此项费用的账单后(该项账单应按月开列),租船人应即支付。
4.本轮有权遵守船旗国政府或船旗国政府授权的其他政府,任何个人(或团体)或在本轮兵险条件下有权发布命令的委员会或个人对本轮的开航,到达,航线、挂港、停航、目的港、交船等方面所发出的命令或指示。
5.如本轮船旗国发生战争、类似战争之行动、革命或民变时,除非另有协定,船东与租船人均可取消本合同,租船人应将本轮在目的港交还船东,如因甲项原因不能到达目的港时,则由船东选择,附近之安全港口,将船上一切货物卸完后交还船东。
6.如本轮遵守本条规定,所产生的任何已了或未了事项,均不得被视为过失。
注:本条保乙、丙两项所列的额外增加的费用,应在签订合同加以明确,为保额、保险费率和船长、船员、水手的薪金和伙食费增加百分之几(一般不超过船员薪金的50%),以免事后发生纠纷。
第二十二条
取消:
如本轮不能在_________年_________月_________日交船,租船人有权取消本合同。
如本轮不能在取消合同日交船,租船人应于接到此项通知后48小时内宣布取消合同抑或接受延期交船。
第二十三条
仲裁:
如双方对本合同发生争执,应在伦敦(或经双方同意的其他地点)进行仲裁。船东和租船人各指定仲裁人一人,如两方仲裁人不能达成协议时,再由两方仲裁人另指定一公断人。仲裁人或公断人之判决为最后的判决,双方均应遵守。
第二十四条
共同海损:
共同海损应按1950年约克——安特卫普规则解决。租金部分不分担共同海损。
第二十五条
佣金:
船东应按所得租金的百分之_________作为佣金付给_________。此项佣金不得少于经纪人的实际开支和工作的合理报酬。如因任何一方违犯合同,致使租金未全部支付,负责一方应赔付经纪人之佣金损失。
如双方同意取消本合同,船东应支付经纪人之佣金,但此项佣金之总数不得超过一个租金之经纪费。
统一定期租船合同共25条,如有补充,应在第廿五条后面写明第_________条至第_________条为本合同的组成部分。
增加的内容一般有如下几条:
第二十六条
租船人可派一或二个代表驻在船上,随船同行并视察本轮是否以最快速度航90该代表在供给和伙食方面与船长享受同等待遇。租船人每天要支付费用20先令(不包括酒费)。
第二十七条
租船人应随时以书信或电报给船长必要的命令和航行指示。船长应向租船人或其代理提供完整无误的航行记录,如需要时,应向租船人或其代理提供载有航线,航速和燃料消耗的真实的航海日志付本。
第二十八条
船东应根据其与供油者之间的加油合同安排加油,并垫付油款以及因加油发生的一切费用于每次加油后,租船人应即将船东垫付的费用(包括港口费、跨线费和与加油有关的其他费用)汇给船东。如船东未在区域内的主要加油港口安排加油时,租船人有权取消本合同。
第二十九条
如爆发牵涉到任何强国的战争,双方均可取销本合同。
第三十条
航运商会兵险条款第1.2.3条、新杰森条款和两船互撞条款应作为本合同不可分割的组成部分。租船人在本合同下所签发的一切提单均包含新杰森条款和两船互撞条款。

1.对任何被封锁的港口及船长或船东经过慎重考虑认为有危险不能驶入或到达的港口,不能要求船长或船东签发提单或承担签发提单的义务。
2.甲、如租船合同中规定的卸港或提单中指定的卸港被封锁,或;
乙、如因战争,敌对行为、军事行为、骚乱、革命或国际法的干涉致使:
(1)船长或船东经过慎重考虑认为有危险或禁止驶入或不能前往卸港。
(2)船长或船东经慎重考虑认为有危险或不可能到达的卸港。
因上述情况的影响,应根据租船人的指示,将全部货物或部分货物在原定卸港以外的其他安全港口卸下(新的卸港应不是被封锁的或船长或船东认为是危险的或禁止的港口),如租船人或其代理未在接到船方发出请求代替卸港通知后48小时内宣布新的卸港,船东有权将货物卸在根据船东和船长认为安全的其他港口,并视为已履行租船合同,另应按在原定卸港或提单内所列的卸港照付运费,在此情况下所发生的一切额外费用由租船人或货主负担,否则船东对未收运杂费的货物有留置权。
3.船舶有权遵守船旗国政府,其他政府和地方当局(包括代管的政府地方当局或经该政府或地方当局授权的任何人员或在船舶兵险保险条件上有权发布或指示的任何组织或个人)对船舶的离港、抵港、航线、挂港、停航、目的港、地区、水面、交货或任何其他方面所发布的命令和指示。
因遵守上述命令和指示,船舶不能驶至原定卸港或提单中所列卸港时,则可驶至经船东和船长慎重考虑后认为可以驶入的或可前往卸货的其他港口卸货,并视为已履行租船合同,另应按在原定卸港或提单所列卸港卸港卸货照付运费,在此情况下,所发生的一切额外费用由租船人或货主负担,否则船东对未收到运杂费的货物有留置权。
新杰森条款
(newjason
clause)
航程开始前后,由于任何原因,不论是否因疏忽而造成意外事件、危险、损失或灾难时,船东对于上述事件及后果,按照法令、合同或其他规定不负责者,有关共同海损所付出之任何牺牲代价、损失或费用等项目,应由托运人、收货人或货主等与承运人共同分摊,对于货物的救助费和其他特殊费用亦应分摊,若拖救的船舶与本船属于同一船东或属同一船东经营者,应视为其他船东的船舶照付救助费等,托运人、收货人或货主须按船东或其代理估计的货物救助费和其他特殊费用预付之。
注:本条款的主要精神是,不论因任何原因(其中包括船长、船员的疏忽或过失)所引起的共同海损,若按法令、合同或其他规定,船东可以免除责任者,则共同海损的牺牲和费用,应由船、货双方共同公摊,如按法令,合同或其他规定应由船方负责者,则应由船方单独负担。另有引用该条款时,应再加两点说明:
(1)“共同海损除按1950年约克——安特卫普规则支付外,其理算应按美国法律及习惯办理者,则以新杰森条款为适用依据”。其用意在于部分地变更约克——安特卫普规则,以减轻船方的责任。按约克——安特卫普规则第四条规定:“共同海损的牺牲或费用,其发生的原因纵系因海上共同航行之某方的过失所造成者,过失方仍有享受被补偿的权利;但因其过失所应负之赔偿责任,并不因此免除”。按新杰森条款的规定,共同海损的牺牲或费用虽属船方责任所造成者,如按法令,合同或其他规定船方不负责者,货方应与船方分摊,分摊后,货方不得因船方的过失而转向船方提出赔偿。
(2)“按照本合同,租船人须获得包含本条款的提单”。其目的是船方避免对第三者负贲。
两船碰撞互有过失条款

若一船和另一船碰撞,系因对方船舶的疏忽和本承运人的船长、水手、引水员或雇员在航行方面或船舶管理方面的任何行为,疏忽或过失所造成者,则对方的船或非承运船或其船东的一切损失,由本承运人担负者,应由承运人所承运的货物的货主补偿本承运人,此项损失或责任仅限于上述货主所受的损失或任何赔偿要求,已从或应从对方的船或非承运船或其船东得到偿付,并从对方的船或非承运船或其船东向本承运船或本承运人提出赔偿,而从已得到赔偿的部分中扣除者。
除相撞的船舶以外,又碰撞或触及其他船舶或货物,而且所有人,经营人或管理人有过失时,本条款亦应适用。
注:本条款的中心内容是:甲方的船舶和货物的损失由乙方的船东赔半数;乙方船舶和货物的损失由甲方船东赔偿半数。另有租船合同中引用此条款时,应加两点说明:
(1)“在履行租船合同时,本船涉及因任何碰撞所发生的责任需按美国法律裁判者。应以本条款为适用。”按一船国家的条例,若两船碰撞,互有过失,则按彼此过失的大小,各向对方的船或货负责的。而按美国法律,不论彼此过失的大小,均以相等的过失来处理。
在租船合同中所以要列入此条款,主要因非美国籍的船舶若与美国籍的船舶碰撞,而又互有过失,不论在何处碰撞,均须按此条款解决,否则,非美国船籍的船东的任何其他船只在美国港口时,美国籍船的船东都可采取手段将其扣留。船东不愿放弃美国港口的生意,所以在租船合同中要订上此条款。
(2)“租船人在本合同下所签发的提单须包含此条款。”其目的是保证船东向货主索回应由货主负担的赔偿费用。

drydocking

either

and
continuing
for
more
than

consecutive

hire

in

which

vessel

exposed

to

risks

penalties

upon
the
imposition
of
sanctions,

carry

goods

may

expose
her

any

other
interference

any
kind
whatsoever

belligerent

fighting
powers

by
any
government
or

vessel
approach
or
be
brought

ordered
within
such

be
exposed
in
any
way
to
the
said
risks,

owners

be
entitled
from
time
to
time
to
insure
their
interests
in
the
vessel

/or
hire
against

of
the
risks
likely
to
be
involved
thereby
on
such
terms
as
they
shall
think
fit,
the
charterers
to
make
a
refund
to
the
owners
of
the
premium
on

and
(2)notwithstanding
the
terms
of

any
lost

injury

the

wages

amount
of
any
increase

be

hire

paid

charterers

the
owners'account

account
being
rendered
monthly.
(d)the
vessel
to
have
liberty
to
comply
with
any
orders
or
directions
as
to
departure,arrival,
routes,
ports
of
call,
stoppages,
destination,
delivery
of

any
other
wise
whatsoever
given
by
the
govemment
of
the
nation
under
whose
flag
the
vessel
sails
of
any
other
government
of
any
person
(or
body)
acting
or
purporting
to
act
with
the
authority
of
such
government
or
by
any
committee
or
person
having
under
the
terms
of
the
war
risks
insuance
on
the
vessel
the
right
to
give
any
such
orders
or
directions.
(e)in
the
event
of
the
nation
under
whose
flag
the
vessel
sails
becoming
involved
in
war,hostilities,warlike
operations,
revolution,
or
civil
commotion,
both
the
owners
and
the
charterers
may
cancel
the
charter
and,
unless
otherwise
agreed,the
vessel
to
be
redelivered
to
the
owners
at
the
port
of
destination
or,if
prevented
through
the
provisions
of
section
(a)
from
reaching
or
entering
it,
then
at
a
near
open
and
safe
port
at
the
owners'option,after
discharge
of
any
cargo
on
board.
(f)if
in
compliance
with
the
provisions
of
this
clause
any
thing
is
done
or
is
not
done,such
notto
be
deemed
a
deviation.

should
the
vessel
not
be
delivered
by
the
